Terms of Service

1. Acceptance of Terms

By accessing or using TrueGrade ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms govern your use of the TrueGrade platform, including the marketing site at www.truegrade.build and the application at truegrade.build.

2. Description of Service

TrueGrade is a cloud-based construction compliance, certification tracking, and field reporting platform operated by QuickBox Foundry. The Service allows construction organizations to manage subcontractor compliance documentation, track building certification workflows, record field activity, and analyze project costs.

3. Accounts and Organizations

You must create an account to use TrueGrade. You are responsible for maintaining the security of your account credentials. Your organization's account administrator is responsible for managing user access and ensuring all users comply with these Terms. You must provide accurate and complete information when creating your account.

4. Subscription and Payment

TrueGrade is offered on a subscription basis. Subscriptions are billed monthly or annually depending on your selected plan. Payment is processed by Stripe. By providing payment information, you authorize TrueGrade to charge the applicable subscription fee. Subscriptions auto-renew unless cancelled before the renewal date. Refunds are provided at our discretion for prepaid annual subscriptions cancelled within 30 days of the start of a new billing period.

5. Your Data

You retain ownership of all data you submit to TrueGrade, including project data, compliance documents, and subcontractor information ("Your Data"). You grant TrueGrade a limited license to store, process, and transmit Your Data solely to provide the Service. We do not use Your Data for any purpose other than operating the Service. 6. Acceptable Use

You agree not to use TrueGrade to:

  • Upload or transmit content that violates any law or third-party rights
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to transmit spam or unsolicited communications
  • Reverse engineer or attempt to extract source code from the Service
  • Resell or sublicense access to the Service without written permission

7. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue the Service with reasonable notice. Planned maintenance will be communicated in advance when possible.

8. Intellectual Property

TrueGrade and its original content, features, and functionality are owned by QuickBox Foundry and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without express written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TRUEGRADE DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

TrueGrade is a project management and documentation tool. It does not provide legal, compliance, or certification advice. The compliance status shown in TrueGrade reflects documentation submitted to the platform and does not constitute a legal determination of compliance. Users are responsible for verifying compliance requirements with appropriate legal and regulatory authorities.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUEGRADE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

You may cancel your account at any time through the account settings or by contacting us. We may terminate or suspend your account for violation of these Terms. Upon termination, your right to use the Service ceases. We retain your data for 90 days after termination before permanent deletion.

12. Governing Law

These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Fairfield County, Connecticut.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-platform notice at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
